The SEC has charged two Colorado-incorporated entities over a crypto scheme that allegedly raised more than $130 million from tens of thousands of retail investors.
According to the complaint, BG Wealth Sharing and DSJ Exchange pointed investors to their own Form ADV and Form D filings, along with fake SEC certificates, as proof of regulatory approval. Investors lost more than $100 million, the SEC said. Neither entity was registered with the agency.
It's the latest in a run of SEC cases over false exempt reporting adviser filings, following the agency's August action against 38 entities.

Griffin Capital's push into build-to-rent has its first capital raise done.
The firm has fully subscribed a $23.5 million DST that owns Meadow+Main, a 138-home build-to-rent community outside Tulsa. Griffin acquired the property in January on behalf of Griffin Capital Residential Partners, the dedicated build-to-rent division it launched in September 2025 under former Capital Square and Amherst executives Jonathan Trott and David Platter.
Griffin said the deal marked its expansion into the sector. It also said it is sourcing more rental housing for future 1031 exchange programs.

While several of the largest nontraded BDCs are still prorating redemptions, Fidelity Private Credit Fund has filled every tender request for four straight quarters, and demand is now easing. Third-quarter requests fell to 2.5% from about 3% in the second quarter, and net investment income covered the distribution.
The pressure points are elsewhere. Realized losses rose to $0.18 per share on two broadly syndicated loan restructurings, NAV slipped to $24.48, and leverage moved up to 0.92x.

Supervisory procedures only work if the problem reaches the firm.
For nearly a decade, a broker settled client complaints out of his own pocket. He paid $139,000 to two customers who had put retirement savings into REITs and other alternative investments he recommended. None of his five broker-dealers knew. One firm received his written attestations, three years running, that no such payments existed. It surfaced only when the clients went to arbitration. This week, FINRA suspended the broker for two months and fined him $5,000.

With only two weeks until conversion, we have increased clarity on final asset retention, which we now expect to be approximately 83%.”
That was LPL Financial CEO Rich Steinmeier on Tuesday’s earnings call, confirming that LPL will fall short of the 90% Commonwealth Financial Network retention target it held for 18 months. CFO Matt Audette said LPL was at about 85% of signed advisers last quarter, before a small number of advisers who had signed decided not to stay.
LPL still expects $415 million in run-rate EBITDA from the deal by the end of 2027, and sponsor agreements are among the first synergies it expects to capture after the mid-November conversion.

Most 721 exchanges into ExchangeRight’s Essential Income REIT come from the sponsor’s own DST investors. This one came from an outside firm. Brixton Capital contributed the Dow Texas Innovation Center, a 664,100-square-foot R&D campus fully leased to Dow, in exchange for operating partnership units in the REIT.
The deal comes the same month the REIT absorbed two more of the sponsor’s DSTs, bringing its total to 30.

Inspired Healthcare Capital’s former CEO Luke Lee wants the company’s own insurance to pay his legal bills, all while a creditors’ committee investigation into his personal finances keeps widening.
Lee is asking the bankruptcy court to let a $10 million director-and-officer insurance policy cover his defense costs. His own motion for that relief includes a notable line: the company isn’t even certain whether the SEC is investigating. The hearing on his request, originally set for October, has now been pushed to December.
Meanwhile, the Rule 2004 investigation into Lee keeps turning up new threads: five entities now named, an open question over whether he personally guaranteed investment-fund loans, and a parallel discovery fight against a former national sales manager that’s dragged on even longer.
