The Martin Property Group solvent bid preferred by Poundland’s management was rejected by owner Gordon Brothers mainly over repayment terms on the £30m shareholder loan (bought for £1), not because the offer lacked substance.
Management described the bid as fully funded and ready to preserve the ~600 stores and ~12,000 jobs intact; independent directors appointed only two weeks earlier resigned in protest after the rejection.
Gordon Brothers has filed a notice of intention to appoint administrators and is pursuing break-up interest from rivals (parts of the estate), which is expected to recover more of the loan but risks greater job and store losses than a going-concern sale.
