I recently learned that in 1772, Ben Franklin gave Joseph Priestley a process for a hard decision: list pros and cons over several days, weigh them, then wait another day or two.
Lots of waiting and time were paramount to the process. In today’s day and age, we are even more rushed, distracted and speedy.
I named my firm Patient Capital, yet I find this reminder helpful that patience and time are critical to a good decision-making process. 🕰️

When my wife and I were building our family, What to Expect When You’re Expecting was the book every mother received. This is that book for a business sale.
Share it with the crazy sellers you write about :) There still may be a deal to be had.

Cannot wait to dive into @EdMyso new book!
Looking through the pages, it’s very clear this book is full of his decades of experience!

The goal of due diligence isn't to eliminate risk.
If you eliminate every possible risk, you'll probably eliminate every deal too.
The goal is to understand what you're accepting before the money goes hard.

“in the 1,526 singles matches I played in my career, I won almost 80% of those matches
… what percentage of points do you think I won in those matches?
only 54%.”

Life insurance is one of the most miscalculated numbers on a high earner's balance sheet.
The face value feels like a lot. The obligation coverage math says otherwise.
$1M policy against $500K/year of income is only 2 years of runway.
Here's how to find your ideal number:

Business owners think about exits at different “levels”:
Level 1: “I just need enough to buy my dream beach house”
Level 2: “I need $$$ amount to retire comfortably”
Level 3: “I hear my company trades for ~4x EBITDA. Here’s my EBITDA”
Level 4: “Here are my value drivers (growth, risk, concentration)”
Level 5: “I actively improve the drivers buyers pay for”
Most owners argue about the multiple

The $GME situation is wild.
The CEO Ryan Cohen has an options package for 171m shares that he can earn if he hits certain market cap and EBITDA hurdles.
The crazy thing is that this is not adjusted for dilution. He needs the market cap to be $20b to get the first tranche but he can just issue a crapload of shares!
This is why he wants to buy $EBAY.

Earlier this year, I tried to run a cohort.
Called it "Exit Ready."
It never took off.
But what stood out to me is that most, if not all, of the speakers I lined up agreed that owner dependency is a huge issue in the SMB space.
I've got countless personal stories about SMB owners and how it impacts their business.
Most of the time they don't realize it until it's too late.
But they are saying things like:
"I can't take a vacation."
"My company should be worth a lot more."
"I'm too busy to have time to do anything else."
"I know how to run everything, but my team is always asking me how to do the basic stuff."
If this is you, once a year I run a limited 1:1 six week sprint to help owners start to step out of the day to day.
It's the cheapest 1:1 offer i do.
Have questions, you can book a short 15 min call, if you know this is you, more info is here.
