Paramount has reached a settlement on the lawsuit with the 12 U.S. states and can move forward with the Warner Bros merger.

New details on the Paramount & Warner Bros deal
• Operations will stay in California — they can't sell the Paramount or WB studio lots
• They have to invest $300M annually on film productions in the US
• They're obligated to release 30 movies in theaters every year
• A third-party board will oversee CNN and CBS News so that they remain editorially independent
