A buyer submitted an offer on a $4.3 million landscaping business. Strong revenue, solid margins, motivated seller. The numbers looked right on the surface. What he hadn't fully modeled was what monthly debt service would look like after the SBA loan was in place and what that left in actual cash flow for the new owner. When his lender ran the numbers the debt service coverage ratio came in at 1.09. The bank required a minimum of 1.25. The business didn't generate enough free cash flow to support the loan at the price he had offered. He had two options — reduce the offer enough to make the debt service work or walk away. The seller wouldn't move. He walked. Run the debt service math before you finalize your offer. The bank will run it regardless. Better to know the answer before you are 60 days into a deal that can't close at your number. #MergersAndAcquisitions #BusinessAcquisition #QualityOfEarnings #LowerMiddleMarket

Adjusted Earnings in Financial Due Diligence A deal can look very different after financial due diligence. In one transaction, perceived earnings were $1 million, but further analysis revealed actual earnings closer to $750,000, partly due to revenue that could not be tied to specific customers. Despite these findings, the deal closed — but with a very different financial picture than initially expected. Thorough financial due diligence helps buyers validate earnings, identify risks, and make informed decisions before closing. #FinancialDueDiligence #QualityOfEarnings #MergersAndAcquisitions #OConnellAdvisoryGroup

A recurring revenue business and a project-based business can report the same EBITDA and be completely different investments. The recurring revenue business generates that EBITDA through contracted, predictable income that renews automatically. The project-based business has to re-win every dollar every year through proposals, relationships, and timing. Same number. Very different risk profile. Very different valuation. When you are evaluating a business, understand not just what it earned but how it earned it. Revenue quality is one of the most important inputs into any valuation and one of the least visible in a CIM. #QualityOfEarnings #MergersAndAcquisitions #BusinessAcquisition #LowerMiddleMarket

My freshman-sophomore year I couldn’t land the 8 college campus jobs I applied for ( out of state). This Led me to starting my first company which cleared $2,000,000 in revenue in 8 years. There’s a lesson in that
My freshman year at Dakota State I worked at McDonald's for $7 an hour. Sophomore year I got a tech fellowship writing code for the school at $17 an hour. Same campus, same kid. I just read the opportunity emails most students delete. Read every one and ask if it's for you.
