🚨TODAY: The SEC just released NEW FAQs on CRYPTO assets, clarifying how securities laws apply to certain tokens and transactions.
KEY POINTS:
- A token and the investment contract used to sell it are not necessarily the same. A token can later exist as a non-security crypto asset.
- Functionality and decentralization depend partly on what the issuer actually promised buyers.
- Staking receipt tokens are not automatically securities. Some may qualify as digital tools or digital commodities.
- A true crypto “receipt” only represents ownership of the underlying asset. The issuer cannot lend, pledge or rehypothecate it.
- Marketing a network’s utility or future features alone does not necessarily create an investment contract.
- If another party takes over the issuer’s promises, the investment contract does not automatically disappear.
- Developers can continue maintaining and upgrading a functional network without those efforts necessarily satisfying Howey.
- On a decentralized network with no central controller, issuer statements are less likely to create a new investment contract.
- Token buybacks are not automatically securities-related, unless tied to promised yield or returns before the network is functional.
- Exchanges offering secondary trading are not automatically considered promoters.
OVERALL, the new SEC FAQ is focusing more on what the token actually represents, how functional and decentralized the network is, who controls it, and what was promised to buyers.
Of note, these are FAQs issued by the SEC’s Division of Corporation Finance staff, NOT new SEC rules.

BREAKING: The SEC just issued new guidance on crypto tokens, staking, and investment contracts.
1. Once a crypto network is functional, work to maintain, improve, or grow it no longer counts as "essential managerial efforts" under the Howey test.
2. Staking receipt tokens can be treated as digital commodities, not securities, depending on how they're structured.
3. A crypto asset itself can be a non-security, even if some transactions involving it are still investment contracts.
4. The SEC's framework now covers digital commodities, digital collectibles, digital tools, stablecoins, and digital securities.
These FAQs reflect SEC staff views only and carry no legal force, unless the Commission itself adopts a formal rule later.

The main Decentraland account peaked somewhere above 600K followers. It’s now around 580K and has been declining almost daily for months.
Do the math. People are leaving by the dozens every day.
There are two problems.
The content is too safe and often boring. I see efforts to improve it, and that’s good. But the bigger problem is that it talks past the audience that actually follows the account.
You have 500K+ followers largely inherited from crypto and Web3, a fast-moving, competitive space. Their feeds are full of companies shipping insane things every week.
And Decentraland shows them mushrooms and gameplay that can look 30 years old.
Every mediocre post becomes another reminder of how far the project appears from what they see elsewhere.
Meanwhile, much of the product and communication seems increasingly designed for a mainstream, non-crypto audience that Decentraland does not yet have, while the audience it DOES have leaves every day.
That’s a serious problem.
From the outside, the official account almost looks scared to post. Everything feels 100% safe.
At some point the question stops being “How many followers did this post gain?”
It becomes: “How many did we lose when we pressed Publish?”
